How do I register a sole proprietorship in India?

A sole proprietorship has no separate incorporation. You build the business identity through registrations in the owner's PAN: GST registration when required, Udyam registration, a shop and establishment or trade licence, and a current account in the business name.

Guide

Proprietorship Registration: what you should know

What a proprietorship is, and is not

A sole proprietorship is the simplest way to start trading. The business and owner are legally the same person, so there is no separate incorporation. This means unlimited liability: personal assets can be used to settle business debts.

There is no single registration that creates a proprietorship. Instead you obtain the licences and registrations that prove the business exists, such as GST, Udyam, a Shops and Establishment licence and a current account.

Registrations most proprietors need

Udyam registration gives MSME benefits such as priority-sector lending. GST registration is compulsory above the turnover threshold or if you sell across states or online. A Shops and Establishment licence applies to most commercial premises, and some trades need FSSAI, trade or professional licences.

A current account in the business name helps you keep records separate and builds a banking history.

When to move to a company or LLP

Consider converting when you hire a team, sign large contracts, seek external funding or want limited liability. Moving earlier is usually cheaper than moving after assets and contracts pile up in your personal name.

Common mistakes to avoid

  • Using a personal account for business receipts
  • Skipping GST when selling online across states
  • Not renewing the Shops and Establishment licence
  • Staying a proprietorship after taking on significant debt or risk

FAQ

Proprietorship Registration: frequently asked questions

Is a proprietorship a separate legal entity?

No. The owner and the business are the same in law, so the owner is personally liable for business debts.

Is GST registration compulsory for a proprietorship?

It is compulsory once turnover crosses the threshold for your state and type of supply, or if you make certain inter-state supplies or sell through e-commerce operators.

Can I convert a proprietorship into a Private Limited company later?

Yes. Many founders start as proprietors and incorporate once the business grows or needs outside funding.

Which tax return does a proprietor file?

A proprietor files an individual income tax return, with business income shown under business or profession.

Is there a government registration certificate for a proprietorship?

No single certificate exists. Udyam registration and the GST certificate are the most common proof.

Can a proprietorship hire employees?

Yes. Depending on headcount, you may need PF and ESI registration.

Is income taxed separately from my personal income?

No. Business profit is added to your personal income and taxed at your slab rates.
