You register a Private Limited company online with the Ministry of Corporate Affairs. Get Digital Signature Certificates and Director Identification Numbers for the directors, reserve a name, file the SPICe+ form with the MOA and AOA, and pay the fees. The MCA then issues the Certificate of Incorporation.

Why founders choose a Private Limited company
A Private Limited company is a separate legal entity. It owns assets, signs contracts and can sue or be sued in its own name, so your personal assets are generally not exposed to business debts beyond the capital you agreed to invest. It can also raise money by issuing shares, which is why investors and banks prefer it.
It continues even if a director leaves or a shareholder sells, and it can issue ESOPs to attract talent. The trade-off is a higher compliance load: annual filings with the ROC, a statutory audit and board meetings every year.
What you need before you apply
You need at least two directors and two shareholders (one person can be both), and at least one director must be resident in India, meaning present in India for 182 days or more in the previous calendar year. You also need a registered office address in India with proof of address.
Pick a name that is distinctive and not similar to an existing company or trademark. Search the MCA name database and the trademark registry before you apply, because a rejected name costs time. Keep three or four options ready.
What happens after incorporation
You receive the Certificate of Incorporation with your CIN, and your PAN and TAN usually arrive with it. Next, open a current account in the company's name, deposit the subscribed capital, and file the first auditor appointment within 30 days. Within 180 days of incorporation, file the declaration for commencement of business (Form INC-20A).
