Business setup in India: what you should know
What business setup includes
Setting up a business is more than filing an incorporation form. A proper set-up covers the legal entity, the tax and licence registrations the entity needs to trade, the bank and accounting foundation, and the compliance calendar that follows. Doing these in the right order avoids notices, penalties and expensive restructuring later.
Our business setup services in Delhi NCR bring all of this under one Chartered Accountant led team, so the entity, the GST and tax registrations, the books and the annual filings are planned together.
Choosing the right structure
Your structure decides liability, how you can raise money, how profits are taxed and how much compliance you carry every year. The table below is a starting point. We confirm it against your own plans before you file.
| Structure | Best for | Key points |
|---|---|---|
| Private Limited company | Startups, growing SMEs, businesses seeking investment | Separate legal entity, limited liability, minimum two directors and two shareholders, equity and ESOPs possible, no minimum capital. |
| One Person Company | Single founders who want a company | One member and one nominee, limited liability, converts to a private company as the business grows. |
| LLP | Professionals, consultants, service firms | Limited liability, minimum two partners and two designated partners, lighter compliance, no equity funding or ESOPs. |
| Proprietorship | Small traders and freelancers | No separate legal identity, unlimited personal liability, simple to start with GST, Udyam and local licences. |
| Partnership firm | Family and small group businesses | Governed by a partnership deed under the Indian Partnership Act, 1932, unlimited liability of partners, registration with the Registrar of Firms is optional but advisable. |
| Public Limited company | Larger ventures planning public funding | Minimum three directors and seven members, no cap on members, stricter governance and disclosure. |
| Section 8 company, NGO or trust | Charitable and non-profit bodies | Objects limited to charity, education, science, arts or similar purposes, profits applied to the objects, 12A and 80G recognition for tax benefits. |
If you are comparing options, our company type comparison sets them side by side.
Step-by-step setup checklist
- Decide the structure, the ownership split and the registered office location.
- Obtain digital signature certificates for all directors or partners.
- Choose and reserve the name, checking trademark conflicts first.
- File incorporation with the MCA, or the LLP incorporation form, with the memorandum, articles or LLP agreement.
- Receive the certificate of incorporation, PAN and TAN, and in most cases the company identification number.
- Open the current account and bring in the subscribed capital.
- Register for GST, Udyam, Shops and Establishment, PF and ESI as applicable.
- Set up accounting, invoicing and the compliance calendar.
After registration: first 12 months
The first year is where many new entities slip. For a company, the declaration of commencement of business is due within 180 days of incorporation, the first auditor must be appointed within 30 days, and statutory registers, share certificates and board minutes must be maintained from the start. Directors must complete their annual KYC, and the company must file its annual financial statements and annual return with the Registrar of Companies. An LLP files its statement of accounts and annual return every year. See our pages on annual compliance for a Private Limited company, annual filing for an LLP and ROC and MCA compliance.
Costs, timelines and documents
The fee depends on the structure, the number of directors, the state stamp duty on the incorporation documents, whether foreign nationals are involved and the time you need. We give a written scope and fee before we start and there are no hidden charges. Government fees and state stamp duty are paid at actuals and vary by state and authorised capital.
Most registrations need PAN and Aadhaar of the owners, photographs, address proof, and proof of the registered office with an owner no-objection certificate and a utility bill. Startups should also keep the founders agreement, IP assignment and cap table ready.
Common mistakes to avoid
- Choosing a proprietorship for a business that will need investors or has real liability risk
- Using a residential address as the registered office without the owner consent and proof
- Skipping the declaration of commencement of business and the first auditor appointment
- Mixing personal and business money from the first month
- Registering a name that conflicts with an existing trademark
- Missing GST, PF or ESI registration once the thresholds apply
Law and compliance
Business registration in India: the legal framework
Business registration in India sits under several laws, depending on the structure. We map each registration to the statute, the authority and the form so you know who you are filing with and why.
| Registration | Law and authority |
|---|---|
| Private, One Person and Public companies | Companies Act, 2013, Ministry of Corporate Affairs and the Registrar of Companies, through the integrated incorporation form on the MCA portal. |
| LLP | Limited Liability Partnership Act, 2008, filed with the Registrar through the LLP incorporation form. |
| Partnership firm | Indian Partnership Act, 1932, with optional registration with the state Registrar of Firms. |
| Section 8 company | Section 8 of the Companies Act, 2013, licence from the Central Government, then 12A and 80G under the Income-tax Act for tax recognition. |
| CSR-1 registration | Companies (Corporate Social Responsibility Policy) Rules, 2014, for entities that undertake CSR activities. |
| MSME Udyam | Micro, Small and Medium Enterprises Development Act, 2006, Udyam portal of the Ministry of MSME. |
| PF and ESI | Employees Provident Funds and Miscellaneous Provisions Act, 1952 and the Employees State Insurance Act, 1948. Coverage thresholds depend on the number of employees and wages, and are being aligned under the labour codes, so we confirm the current position. |
| GST | Central and State GST Acts, registration with the GST portal based on turnover, supply type and state. |
Which Registrar of Companies applies to you
The state of your registered office decides the Registrar. A company with its registered office in Delhi or Haryana falls under the Registrar of Companies, Delhi and Haryana. Uttar Pradesh falls under the Registrar of Companies, Kanpur. Bihar falls under Patna, Jharkhand under Ranchi, Rajasthan under Jaipur, and Chandigarh, Punjab and Himachal Pradesh under Chandigarh. Choosing the right state for the registered office also affects stamp duty, state licences and the labour and professional tax rules that apply.
Director and compliance rules to know early
- A Private Limited company needs at least two directors and two members, and at least one director who is resident in India.
- A Public Limited company needs at least three directors and seven members.
- An LLP needs at least two partners and two designated partners, one of whom is resident in India.
- Every company must appoint an auditor, and an LLP must get its accounts audited if turnover or contribution crosses the prescribed limits.
- Every director must complete the annual director KYC.

FAQ
Business setup services: frequently asked questions
What business setup services do you offer in Delhi NCR?
We handle company registration (Private Limited, One Person Company and Public Limited), LLP and partnership firm registration, proprietorship set-up, startup registration with DPIIT recognition, Section 8 company and trust registration for NGOs, CSR-1 registration, MSME Udyam registration, and PF and ESI registration. We also set up GST, PAN, TAN, bank account support and the first year of accounting and compliance.
Which business structure is best for a new business in India?
It depends on funding, liability, tax and compliance appetite. A Private Limited company suits businesses that want to raise equity, issue ESOPs or limit liability. An LLP suits professional and service firms that want limited liability with lighter compliance. A proprietorship is the simplest and cheapest to start but gives no separate legal identity. We compare the options for your case in a free consultation.
How long does business registration take in Delhi NCR?
A Private Limited company or LLP is typically incorporated in 7 to 15 working days once documents and digital signatures are ready. The exact time depends on name approval, the Registrar of Companies and any queries raised. MSME Udyam registration is usually completed online within a day or two. Proprietorship and partnership set-up depends on the licences and deed needed.
What documents are needed to register a company?
Generally PAN and Aadhaar of every director and shareholder, a passport-size photograph, proof of address such as a bank statement or utility bill, a digital signature certificate for each director, and proof of the registered office with a no-objection certificate from the owner and a recent utility bill. Foreign nationals need a notarised and apostilled passport and address proof.
Is there a minimum capital requirement for a Private Limited company?
No. The Companies Act, 2013 no longer prescribes a minimum paid-up capital for a private or public company. You should still start with capital that matches your business plan, bank needs and any licence conditions.
Can an NRI or a foreigner be a director or shareholder?
Yes. Foreign nationals and NRIs can be directors and shareholders, subject to the Foreign Exchange Management Act and sector rules. At least one director must be a resident in India, meaning present in India for at least 182 days in the previous calendar year. For foreign-owned structures see our wholly owned subsidiary and foreign company pages.
Do I need GST registration after incorporation?
Not always. GST registration depends on your turnover, the nature of your supplies, the state you operate in and whether you make inter-state supplies or sell through e-commerce platforms. Some businesses register voluntarily to claim input tax credit and win larger customers. We check your position and register you if required.
What must a new company do after incorporation?
Open a bank account and bring in the subscribed capital, file the declaration of commencement of business within 180 days, appoint the first auditor within 30 days, issue share certificates, maintain statutory registers, register for GST, Shops and Establishment, PF, ESI and professional tax where applicable, and start bookkeeping from day one.
What is the difference between a Section 8 company and a trust?
A Section 8 company is incorporated under the Companies Act, 2013 with a licence from the Central Government to promote charitable objects, and it is supervised by the Registrar of Companies. A trust is created by a trust deed under the Indian Trusts Act, 1882 or a state public trust law, and is generally simpler to form but less structured. We help you choose and then apply for 12A and 80G where eligible.
Is MSME Udyam registration free?
Yes. Udyam registration on the Government of India portal is free and uses PAN and Aadhaar. We help you classify the enterprise correctly by investment and turnover, choose the right activity codes and keep the details updated.
Do you serve clients outside Delhi, Noida and Gurugram?
Yes. Our offices are in Sector 62, Noida and Sector 67, Gurugram, and most registrations are completed online. We regularly work with clients in Ghaziabad, Faridabad, Greater Noida, Rohtak, Ambala, Chandigarh, Jaipur, Patna, Ranchi and other cities in Haryana, Uttar Pradesh, Bihar and Jharkhand.
Do you also handle ongoing compliance after registration?
Yes. After registration we can handle bookkeeping, GST and TDS returns, income tax, annual ROC filings, audit and director KYC, so one team looks after the business from incorporation onwards.
