Company and LLP registration

What are the types of business entities in India?

The main types are sole proprietorship, partnership firm, LLP, One Person Company, Private Limited company, Public Limited company and Section 8 company. Others include producer companies and joint ventures. The right type depends on liability, funding, number of owners and compliance appetite.

How do I register a Private Limited company?

Get Digital Signature Certificates and DINs for the directors, reserve a name, prepare the MOA and AOA, file the SPICe+ form on the MCA portal with the fee, and receive the Certificate of Incorporation with your CIN, PAN and TAN.

How many directors and shareholders does a Private Limited company need?

At least two directors and two shareholders. One person can hold both roles. At least one director must be resident in India, meaning a stay of 182 days or more in the previous year.

What is the minimum capital for a Private Limited company?

There is no minimum paid-up capital. Authorised capital affects the stamp duty and registration cost, which vary by state.

What is an LLP and how is it different from a company?

An LLP is a legal entity where partners have limited liability and the compliance load is lighter than a company. A company can issue shares and raise equity funding, which an LLP cannot do in the same way.

How do I start a company in India step by step?

Choose the structure, register it, obtain PAN and TAN, open a bank account, register for GST if required, get Udyam and local licences, set up accounting and calendar your annual filings.

How can a foreign company register in India?

A foreign company can set up a wholly owned subsidiary or joint venture company, or open a branch, liaison or project office, subject to the FDI policy and FEMA. Branch and liaison offices need RBI authorisation.

GST

Who is eligible for GST registration?

Businesses above the turnover threshold for their state and type of supply, generally ₹40 lakh for goods and ₹20 lakh for services, and those who must register irrespective of turnover, such as inter-state service suppliers and e-commerce sellers. Others may register voluntarily.

What documents are required for GST registration?

PAN, Aadhaar, photograph, business address proof, bank account proof and, for companies and LLPs, incorporation documents and authorisation of the signatory.

What are the due dates for GSTR-1 and GSTR-3B?

For monthly filers, GSTR-1 is generally due on the 11th and GSTR-3B on the 20th of the next month. Quarterly filers have separate dates. Extensions are sometimes announced.

What is the late fee for GST returns?

A late fee is charged per day of delay, at a lower rate for nil returns, subject to a cap, along with interest on unpaid tax.

Can I claim a refund of GST?

Yes, in cases such as exports, inverted duty structure and excess payments. A refund application in Form RFD-01 must be filed within two years of the relevant date.

Income tax

Who must file an income tax return?

Anyone whose income exceeds the basic exemption limit of their tax regime, and certain others such as holders of foreign assets and persons with specified high-value transactions. Companies and firms must file every year.

What is the due date for filing an income tax return?

Generally 31 July for individuals without an audit and 31 October for taxpayers whose accounts are audited. The Government sometimes extends these dates.

What is the difference between the old and new tax regime?

The new regime has lower slab rates but allows fewer deductions. The old regime allows deductions such as home loan interest and investments. We compute both for your numbers.

What should I do if I get an income tax notice?

Read it, note the section and the deadline, and share it with your CA immediately. Do not ignore it. A timely, documented reply resolves most notices.

When is a tax audit required?

Generally when business turnover exceeds ₹1 crore, or ₹10 crore if cash receipts and payments are 5 percent or less, and when professional receipts exceed ₹50 lakh. Other cases apply under presumptive taxation.

Audit and compliance

Is a statutory audit mandatory for every company?

Yes. Every company under the Companies Act, 2013 must appoint an auditor and get its accounts audited every year, regardless of turnover.

What annual filings does a Private Limited company need?

Financial statements in AOC-4, the annual return in MGT-7, the income tax return, board meetings and an AGM, plus event-based filings such as DPT-3 and MSME-1 where they apply.

What annual filings does an LLP need?

Form 11 by 30 May, Form 8 by 30 October and the income tax return. A late fee of ₹100 per day applies for each form.

What happens if I miss ROC filings?

Additional fees accrue per day of delay, the company's name may be struck off, and directors can face disqualification for continued non-filing.

Do dormant or no-turnover companies still need to file?

Yes. Every company must file its annual returns and financial statements even without turnover. Closure by strike-off may be an option.
