Quick answer

To register a company in Gurgaon, Noida or Delhi, choose the structure, pick a unique name, get Digital Signature Certificates, file SPICe+ with the RoC, and receive the Certificate of Incorporation with PAN and TAN. It usually takes 7 to 15 working days if documents are ready.

Key takeaways

  • The central MCA process is identical in all three cities; only the state, registrar and local registrations differ.
  • Gurgaon (Haryana) and Delhi fall under the RoC Delhi and Haryana; Noida (Uttar Pradesh) falls under RoC Kanpur.
  • Your registered office address proof is the most common reason for rejection, so keep the utility bill and NOC ready.
  • Choose the location by where your team, clients and bank will actually be, not by which looks cheaper on paper.

01Is the process different in Gurgaon, Noida and Delhi?

The filing itself is online and national. You file SPICe+ on the MCA portal whichever city you operate from. What changes is the state your company is registered in, the Registrar of Companies that handles it, the stamp duty on the incorporation documents and the local registrations you need after incorporation.

CityStateRegistrarWhat to check locally
GurgaonHaryanaRoC Delhi and HaryanaState stamp duty, Haryana GST, shops and establishment rules
NoidaUttar PradeshRoC KanpurUP stamp duty, UP GST, industrial authority rules for plots
DelhiNCT of DelhiRoC Delhi and HaryanaDelhi stamp duty, commercial address norms, Delhi GST

02Step by step: how the registration works

  1. Pick the structure. Private Limited, LLP, OPC or partnership. See our company type comparison.
  2. Choose directors and shareholders. A Private Limited company needs at least two directors, and at least one must be resident in India.
  3. Get DSC and DIN. Digital Signature Certificates for directors and subscribers; DIN is allotted through SPICe+.
  4. Propose the name. Check availability against existing companies and trademarks before you apply.
  5. File SPICe+ with e-MoA and e-AoA. Add the registered office proof and the professional declaration.
  6. Receive the Certificate of Incorporation with CIN, PAN and TAN, then open the bank account.

03Documents you need

  • PAN and Aadhaar of every director and subscriber
  • Passport-size photo, email address and mobile number for each
  • Address proof (bank statement or utility bill, not older than two months)
  • Registered office: latest utility bill, owner NOC and rent agreement if rented
Practical tip

If you plan to work from a shared or serviced office, confirm in advance that the owner will give a NOC and agreement in the company's name.

04Which city should you choose?

Choose Gurgaon for corporate, consulting and technology teams that want a Haryana base. Choose Noida for IT, manufacturing and e-commerce operations that benefit from Uttar Pradesh industrial areas. Choose Delhi when clients, regulators or licences make a Delhi address important. A Gurgaon company can still sell across India, and GST becomes state-specific only when you register for it.

05Mistakes that delay registration

  • Choosing a name too close to an existing company or trademark
  • Registered office proof in the name of someone who has not given a NOC
  • Name mismatch between PAN, Aadhaar and the application
  • Forgetting post-incorporation tasks such as the bank account and the commencement declaration
Watch out

File the declaration of commencement of business (INC-20A) within 180 days of incorporation, or the company can face penalties.

Frequently asked questions

How long does company registration take in Gurgaon or Noida?

Typically 7 to 15 working days once documents are complete. Name objections and address-proof problems are the usual causes of delay.

Can I register a company in Gurgaon and run it from Noida?

Yes, but the registered office must be a real address in the registered state, and you should plan GST and other registrations for where you actually operate.

Do I need to be present in Gurgaon or Noida to register?

No. The process is online. Directors sign documents with their Digital Signature Certificates.

How much does it cost?

Costs depend on authorised capital, state stamp duty and professional fees. Ask for a written quote that separates government charges from fees.
