Quick answer

To make a Private Limited company online, obtain DSC for directors, apply for name approval and incorporation together in SPICe+ with e-MoA and e-AoA, optionally register GST, EPFO and ESIC through AGILE-PRO-S, and receive the Certificate of Incorporation with CIN, PAN and TAN.

Key takeaways

  • SPICe+ combines name reservation, DIN, incorporation, PAN and TAN in one integrated form.
  • AGILE-PRO-S can register GST, EPFO, ESIC and a bank account request alongside incorporation.
  • A practising professional must certify the declaration, so the process cannot be fully self-certified.
  • The MCA has proposed amendments to incorporation rules, so confirm current forms before filing.

01What you need before you start

  • Two or more directors and shareholders, with at least one resident director
  • Digital Signature Certificates for directors and subscribers
  • Proposed company name and main object
  • Registered office proof with owner NOC

02The online process

  1. Register on the MCA portal and create user IDs.
  2. Fill SPICe+ Part A for name reservation and Part B for incorporation, DIN and PAN.
  3. Attach e-MoA and e-AoA with the subscribers' details.
  4. Add AGILE-PRO-S if you want GST and employee registrations done together.
  5. Pay fees and stamp duty, then track the SRN until approval.

03After you receive the certificate

  • Open the company bank account and deposit the subscribed capital
  • Appoint the first auditor within 30 days
  • File INC-20A within 180 days
  • Set up accounting, GST returns and TDS
Watch out

Skipping the post-incorporation tasks is the most common first-year compliance miss.

04Cost and time

Government fees depend on authorised capital and the state's stamp duty. Plan for 7 to 15 working days from a complete application. Our private limited registration service handles the filing end to end.
